Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using the Tarixo.AI platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated into these Terms by reference.

If you do not agree to these Terms, you must not access or use Tarixo.AI. We reserve the right to update these Terms at any time. Your continued use of the service following notice of any changes constitutes acceptance of the updated Terms.

2. Service Description

Tarixo.AI is an AI-powered trade compliance Software-as-a-Service (SaaS) platform designed for importers, exporters, and trade professionals. The service includes:

• HS/HTS Code Classification: AI-assisted classification of goods using internationally standardised Harmonized System codes and US Harmonized Tariff Schedule codes.
• Sanctions Screening: Automated screening against 40+ global watchlists including OFAC SDN, EU Consolidated List, UN Sanctions List, and the US Commerce Denied Parties List (CSL).
• Duty & Tariff Calculation: Estimation of applicable customs duties and tariff rates based on HS codes, country of origin, and destination market.
• FTA Qualification: Analysis of Free Trade Agreement eligibility based on rules of origin and shipment parameters.
• Document Generation: Automated production of commercial invoices, packing lists, and certificates of origin.
• AI Compliance Assistant: Conversational AI interface for trade compliance queries.
• API Access: Programmatic access to all platform features through a RESTful API using prepaid credit consumption.

We reserve the right to modify, suspend, or discontinue any part of the service, with or without notice, and shall not be liable for any such modification, suspension, or discontinuation.

3. Account Registration & Security

To use Tarixo.AI, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration and keep it updated.
• Maintain the confidentiality of your account credentials and API keys. You are solely responsible for all activity that occurs under your account.
• Notify us immediately at [email protected] upon discovering any unauthorised use of your account or any security breach.
• Not share your account credentials with any third party. Each paid seat is licensed to one named user; concurrent shared access across multiple individuals is prohibited.
• Represent a legitimate business entity or professional operating in lawful international trade activities.

Tarixo operates on a multi-tenant model. Each account is associated with an Organisation. The Organisation Owner bears ultimate responsibility for all users, activity, and charges within that Organisation.

4. Subscription Plans & Billing

4.1 Plans and Pricing

Tarixo.AI offers tiered subscription plans as described on our pricing page at tarixo.ai/pricing. Pricing is displayed in United States Dollars (USD) unless otherwise specified. We reserve the right to change subscription pricing upon 30 days' advance notice.

4.2 Payment Processing

All payments are processed by Stripe, Inc. By providing payment information, you authorise Quant Global LLC to charge your payment method for all applicable fees. Your payment information is handled directly by Stripe and is subject to Stripe's Privacy Policy. We do not store your full payment card details on our servers.

4.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing cycle (monthly or annual, as selected) at the then-current plan rate, unless you cancel before the renewal date. You will receive an email reminder at least 7 days before annual subscription renewals.

4.4 Cancellation

You may cancel your subscription at any time through the Billing section of your account settings. Cancellation takes effect at the end of the current billing period; you retain access to paid features until that date. We do not provide pro-rata refunds for unused time within a billing period, except where required by applicable law.

4.5 Taxes

Quoted prices are exclusive of applicable taxes, including UAE Value Added Tax (VAT) where applicable. You are responsible for any applicable taxes, duties, or levies assessed on your use of the service in your jurisdiction. Where Tarixo is required to collect and remit VAT or similar taxes, such charges will be displayed at checkout.

4.6 Failed Payments

If a payment fails, we will attempt to retry the charge. If the charge remains unsuccessful after reasonable retry attempts, your account may be downgraded or suspended until payment is resolved. You will be notified by email before any suspension takes effect.

5. API Credits

5.1 Nature of Credits

API credits are prepaid units of consumption that entitle you to make API calls to the Tarixo.AI platform. Credits are purchased in advance and deducted as API requests are processed. Credit pricing and the per-call deduction rate for each endpoint type are published in our API documentation.

5.2 Non-Refundable

API credits are non-refundable once purchased. Credits are consumed upon successful processing of an API request. Requests that result in a server-side error on our part (HTTP 5xx responses attributable to Tarixo infrastructure) will not consume credits. Requests that return valid responses — even if the classification or screening result does not meet your expectations — are billable and non-refundable.

5.3 Expiry

Purchased API credits expire twelve (12) months from the date of purchase if not used. Expired credits are forfeited without refund. Credits are applied on a first-in, first-out basis, with the oldest credits consumed first.

5.4 Auto-Reload

You may enable the auto-reload feature in your account settings. When enabled and your credit balance falls below a configured threshold, your payment method on file will automatically be charged to purchase an additional credit bundle at your chosen top-up amount. You may disable auto-reload at any time. You remain responsible for all auto-reload charges authorised by this feature.

5.5 Rate Limits

API usage is subject to rate limits as specified in our API documentation to ensure fair use and platform stability. Exceeding rate limits will result in HTTP 429 responses. Credits are not consumed for rate-limited requests.

6. Acceptable Use Policy

You agree to use Tarixo.AI solely for lawful purposes and in accordance with these Terms. You must not use the platform to:

• Facilitate or assist in any transaction that violates applicable trade sanctions, export controls, or import regulations in any jurisdiction.
• Circumvent, disable, or otherwise interfere with security features of the platform, including authentication mechanisms, rate limiting, or access controls.
• Reverse engineer, decompile, disassemble, or attempt to extract the source code of the platform, its AI models, or any of its underlying components.
• Use automated scripts, bots, or scraping tools to access or extract data from the platform beyond what is permitted through the documented API.
• Submit false, misleading, or fraudulent data to manipulate classification results, screening outcomes, or duty calculations.
• Resell, sublicense, or offer the platform's capabilities as a white-label or embedded service to third parties without a written reseller agreement with Quant Global LLC.
• Upload, transmit, or process any data that infringes third-party intellectual property rights or violates any applicable privacy laws.
• Use the platform in any way that could damage, disable, overburden, or impair the service or interfere with other users' use of the platform.

We reserve the right to suspend or terminate accounts that violate this Acceptable Use Policy without prior notice and without refund.

7. Intellectual Property

7.1 Tarixo IP

Tarixo.AI and all of its components — including but not limited to the software, source code, AI models, algorithms, classification logic, sanctions screening engines, user interface designs, branding, documentation, and compiled trade intelligence databases — are the exclusive intellectual property of Quant Global LLC or its licensors. All rights are reserved. Nothing in these Terms grants you any ownership interest in any Tarixo IP.

7.2 Licence Grant

Subject to your compliance with these Terms and timely payment of applicable fees, Quant Global LLC grants you a limited, non-exclusive, non-transferable, revocable licence to access and use Tarixo.AI solely for your internal business trade compliance purposes during the term of your active subscription.

7.3 Feedback

If you submit suggestions, feedback, or ideas about the platform (“Feedback”), you grant Quant Global LLC a perpetual, irrevocable, royalty-free, worldwide licence to use, implement, and incorporate such Feedback into the service without any obligation or compensation to you.

8. Data Ownership

You retain full ownership of all trade data, shipment records, counterparty information, product descriptions, and documents that you upload, submit, or generate through Tarixo.AI (“Customer Data”). Quant Global LLC makes no claim of ownership over Customer Data.

By using the service, you grant Quant Global LLC a limited, non-exclusive, worldwide licence to process, store, transmit, and use Customer Data solely to the extent necessary to provide the contracted services to you. We do not use your specific trade data to train our AI models without your explicit consent, except in anonymised, aggregated form that cannot be attributed to your organisation.

You may export your Customer Data at any time through the platform. Upon account termination, you have 60 days to export your data before it is permanently deleted. See our Privacy Policy for full data retention details.

9. AI-Generated Content Disclaimer

Trade compliance is a complex, jurisdiction-specific legal domain. Classification codes, tariff rates, sanctions lists, and FTA rules of origin change frequently and may vary by interpretation. While we strive for high accuracy in our AI outputs, Tarixo does not warrant that any classification, duty estimate, or compliance determination is correct, complete, or applicable to your specific circumstances.

You are solely responsible for:

• Verifying all AI-generated classifications and compliance determinations before using them in customs filings, regulatory submissions, or commercial transactions.
• Consulting a licensed customs broker, trade attorney, or qualified compliance professional for legally binding determinations, binding ruling requests, or transactions with significant duty or penalty exposure.
• Ensuring your use of Tarixo.AI outputs complies with all applicable laws and regulations in your jurisdiction and the jurisdictions of your counterparties.

Tarixo.AI is a decision-support tool, not a substitute for professional legal or customs compliance expertise.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QUANT GLOBAL LLC AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION:

• Loss of revenue or profits arising from misclassification or incorrect duty estimates.
• Customs penalties, fines, or seizures resulting from reliance on AI-generated classifications.
• Loss of data, business interruption, or loss of goodwill.
• Any failure or delay in the screening of a sanctions-listed party that was not on the relevant watchlist at the time of screening.

IN NO EVENT SHALL TARIXO'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (a) THE TOTAL FEES PAID BY YOU TO TARIXO IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (b) ONE HUNDRED US DOLLARS (USD $100).

The limitations in this section apply whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if Tarixo has been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify, defend, and hold harmless Quant Global LLC, its directors, officers, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Tarixo.AI platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation, including trade sanctions or customs regulations; (d) any Customer Data you submit through the platform that infringes third-party rights; or (e) your breach of any representation or warranty made in these Terms.

12. Termination

12.1 Termination by You

You may terminate your account at any time by cancelling your subscription through the account settings and requesting account deletion via [email protected]. Upon termination, your access to the service will cease at the end of the current billing period.

12.2 Termination by Tarixo

We reserve the right to suspend or terminate your account, with or without notice, for: (a) violation of these Terms or the Acceptable Use Policy; (b) non-payment of fees; (c) conduct that we determine in our sole discretion to be harmful to the platform, other users, or third parties; or (d) as required by applicable law or regulatory order.

12.3 Effect of Termination

Upon termination: (a) all licences granted under these Terms immediately cease; (b) unused API credits are forfeited without refund unless termination was caused by our material breach; (c) your Customer Data will be available for export for 60 days before permanent deletion. Provisions that by their nature should survive termination shall survive, including Sections 7, 9, 10, 11, and 13.

13. Governing Law

These Terms and any dispute or claim arising out of or in connection with them, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United Arab Emirates, as applied in the Emirate of Dubai. The courts of Dubai shall have exclusive jurisdiction over any disputes arising under or related to these Terms, subject to Section 14 (Dispute Resolution) below.

14. Dispute Resolution

14.1 Informal Resolution

Before initiating any formal dispute resolution process, you agree to first contact us at [email protected] to describe your complaint and seek informal resolution. We will endeavour to respond within 10 business days. Both parties agree to attempt to resolve the matter in good faith for a period of 30 days before escalating.

14.2 Mediation

If informal resolution fails, the parties agree to attempt to resolve the dispute through non-binding mediation administered by the Dubai International Arbitration Centre (DIAC) or a mutually agreed mediator before resorting to litigation or arbitration.

14.3 Binding Arbitration

Any dispute that cannot be resolved through informal resolution or mediation within 60 days shall be finally settled by binding arbitration administered by the Dubai International Arbitration Centre (DIAC) in accordance with its rules. The arbitration shall be conducted in English, in Dubai, UAE. The arbitral award shall be final and binding on the parties and may be enforced in any court of competent jurisdiction.

14.4 Class Action Waiver

To the extent permitted by applicable law, all claims must be brought on an individual basis. You may not bring or participate in any class, collective, or representative action against Quant Global LLC.

15. Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms to the extent such failure or delay is caused by circumstances beyond that party's reasonable control, including without limitation: acts of God, natural disasters, war, terrorism, civil unrest, governmental actions, internet service disruptions, cyberattacks, pandemics, or failures of third-party infrastructure providers. The affected party shall provide prompt written notice to the other party and take reasonable steps to mitigate the impact of the event.

16. Entire Agreement

These Terms, together with our Privacy Policy and any executed Order Form or Enterprise Agreement, constitute the entire agreement between you and Quant Global LLC with respect to the Tarixo.AI service, and supersede all prior and contemporaneous negotiations, representations, warranties, and agreements, whether written or oral, relating to the subject matter hereof.

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The failure of Quant Global LLC to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

These Terms may not be amended except by a written instrument signed by an authorised representative of Quant Global LLC, or by the posting of updated Terms on this page with notice to you as described in Section 1.
